Overview of conditional signing for board members
Conditional signing is available on specific Penneo case file types that include the 'board member' role in the signing flow. It lets you set how many board members must sign before the process is finalized. The 'Chairman of the board' always has to sign and follows different rules than standard board members.
Conditional signing logic and configuration
Example: you have 5 board members and only need 3 signatures. Add all 5 to the case file, assign 'board member' to 4 of them and 'chairman of the board' to the remaining one, then enter '2' in the 'required board members' field. The document is finalized once the chairman (who always signs) and any 2 of the 4 board members have signed. The other 2 board members are then notified that their signature is no longer needed.
Default settings and signature limits
The 'required board members' field defaults to 10. This is a maximum, not a requirement — it just needs to be higher than the actual number of board members in the case file, so all of them are asked to sign. This value cannot be changed once the case file has been sent.
Critical configuration warnings
Never enter '0' in this field — it can invalidate the case file, as Penneo may then assume only one signature is needed. If the case file has no board members at all, simply leave the field at its default value of '10'.
Enabling conditional signing in the Penneo web interface
When you select a signing flow that supports conditional signing, an 'Enable' option appears right below the flow selection. Click it and enter the number of board members required to sign. To use the flow without conditional logic, simply leave the feature disabled.
Configuring conditional signing in the Penneo desktop app
In the desktop app, this setting is under 'Settings' on the second page of the case file creation process, where you can enter the number of board members required to sign.
