Overview of conditional signing for board members
Conditional signing is a feature active only on specific Penneo case file types that include the role ‘board member’ in the signing flow. This feature allows you to select how many persons with the ‘board member’ role must sign for the process to be finalized. Note that the ‘Chairman of the board’ is always required to sign and is subject to different rules than standard board members.
Conditional signing logic and configuration
In a scenario where you have 5 board members and require signatures from 3 of them, add all 5 persons to the Penneo case file. Assign the role of ‘board member’ to 4 of them and the role of ‘chairman of the board’ to 1 of them. Enter ‘2’ in the ‘required board members’ field. In this configuration, the document will be finalized after being signed by the chairman of the board (who always signs) and any 2 of the standard board members. Once 2 board members have signed, the remaining 2 board members receive notification that their signature is no longer required, completing the 3 out of 5 signature requirement.
Default settings and signature limits
By default, the Penneo ‘required board members’ field is set to 10. This value indicates that Penneo allows up to 10 board members to sign, rather than requiring exactly 10 members to exist. As long as the number in the field is higher than the number of board members created in the case file, all created members will be asked to sign. This configuration value cannot be changed after the case file has been sent.
Critical configuration warnings
Never enter ‘0’ in the ‘required board members’ field, as this can invalidate the case file configuration. If ‘0’ is entered, Penneo may assume that a single signer is sufficient. If your case file does not include any board members, ignore the field and leave the standard default value of '10’.
Enabling conditional signing in the Penneo web interface
When a signing flow that supports conditional signing is selected in the Penneo web interface, the option to enable the feature appears directly under the signing flow selection. Click ‘Enable’ and enter the specific number of board members required to sign the case file documents. If you wish to use the selected flow without conditional logic, leave the feature disabled so no signature conditions are applied.
Configuring conditional signing in the Penneo desktop app
The conditional signing feature is available under ‘Settings’ on the second page of the case file creation process in the Penneo desktop app. This settings area contains the specific field where you can define the number of board members required to sign the document.
